In connection with the creation of the Central Register of Actual Beneficiaries (CRBR), companies established before October 13 are required to notify beneficiaries to the Register by April 13, 2020. Companies entered into the National Court Register after October 13 are required to notify beneficiaries within 7 days from the date of entry into the National Court Register.
The Central Register of Actual Beneficiaries (CRBR) is a database in which information about natural persons exercising direct or indirect control over the company, referred to as actual beneficiaries, is collected and processed. The main task of CRBR is to prevent money laundering or terrorist financing.
Data to the Central Register of Actual Beneficiaries (CRBR) is submitted only by a person authorized to represent the company. It is not possible to entrust this task to other persons.
Obligatory entries into the CRBR apply to beneficiaries of general partnerships, limited partnerships, limited joint-stock partnerships, limited liability companies and joint-stock companies that are not listed on the stock exchange. This obligation does not apply to foreign companies conducting business activities registered in the National Court Register in the form of a branch in Poland.
The registration is free of charge and must be made by a person authorized to represent the company in electronic form on the website: https://crbr.podatki.gov.pl/adcrbr/#/utworz-zgloszenie
Failure by a company to notify a beneficiary to the Register is punishable by up to PLN 1,000,000.
